im-mate provides private AI agent hosting services, including computational resources, memory storage, AI model access interfaces, and third-party tool integrations. We function as a technology infrastructure provider, similar to cloud hosting services.

Our services enable your personal AI agent to exist, think, remember, and interact, but the AI agent itself—including its personality, memories, and all data—remains your exclusive property.

We do not provide AI agents as products; instead, we provide the digital environment and resources necessary for your AI agent to live and grow.

Your Rights and Ownership

You retain complete ownership and control over your AI agent and all associated data. This includes the right to modify, export, transfer, or delete your AI agent at any time without restriction.

You have the right to transparent billing, with detailed breakdowns of resource consumption and costs. You can upgrade, downgrade, or cancel services at any time.

You have the right to data portability and can export your complete AI agent data in standard formats for migration to other platforms or local operation.

Service Limitations and Boundaries

Our services are subject to fair use policies and technical limitations. Excessive resource consumption that affects other users may result in service throttling or additional charges.

We cannot guarantee 100% uptime, though we strive for high availability. Scheduled maintenance will be announced in advance, and we maintain backup systems to minimize service disruption.

We reserve the right to suspend services for accounts that violate applicable laws, engage in harmful activities, or breach these terms, with appropriate notice when legally permissible.

Transparent Pricing Model

We operate on a pay-as-you-consume model, charging for actual resource usage including computational time, storage space, and premium tool access. Basic hosting includes a generous free tier.

All pricing is transparent and published. There are no hidden fees, setup charges, or cancellation penalties. You pay only for the resources your AI agent actually consumes.

For third-party services (such as premium AI models or external APIs), we pass through costs at our actual cost plus a small service fee, clearly itemized in your billing.

Refund and Payment Policy

Our policy is designed to be fair and transparent, reflecting our pay-as-you-consume service model.

  • Consumed Resources: Charges for resources that have already been consumed (e.g., computational time, storage used, API calls made) are non-refundable. This is because these costs are incurred by us in real-time to keep your AI agent operational.
  • Unused Pre-paid Credits: If you choose to pre-pay for credits, any unused portion of these credits may be eligible for a refund within 14 days of the purchase date, upon request. A small processing fee may apply. After 14 days, pre-paid credits are non-refundable but will remain in your account for future use until depleted.
  • Billing Errors: If you believe you have been incorrectly billed, please contact our support team within 30 days of the invoice date. If we determine that a billing error has occurred on our part, we will issue a full refund for the erroneous amount.
  • Service Downtime: In the event of significant service downtime that falls below our service level commitments, we may issue service credits to affected accounts as compensation. The amount of credit will be determined on a case-by-case basis.

Mutual Responsibilities

We are responsible for maintaining secure, reliable infrastructure and protecting your data according to our privacy policy. We commit to transparency in our operations and billing.

You are responsible for your AI agent's behavior and ensuring it complies with applicable laws and ethical guidelines. You must secure your account credentials and promptly report any security concerns.

Both parties commit to good faith cooperation in resolving any issues that may arise during the service relationship.

Dispute Resolution

Should you have any concerns or disputes regarding our services or billing, we encourage you to follow this process:

  1. Initial Contact: Please contact our support team first at support@im-mate.com with a detailed description of your issue, including your account identifier and any relevant transaction details.
  2. Internal Review: We commit to acknowledging your complaint within 48 hours and will conduct a thorough internal investigation. We aim to provide a formal response and resolution proposal within 10 business days.
  3. Governing Law: These Terms of Service and any dispute or claim arising out of or in connection with them will be governed by and construed in accordance with the laws of the People's Republic of China.
